1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Customer," "you," or "your") and Avanta Systems ("we," "us," "our," or the "Company"), governing your access to and use of the AI Extension platform ("Platform" or "Service").

By accessing or using the Platform, creating an account, or checking the "I accept" box, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease all use of the Platform.

1.1 B2B Service

This Platform is provided exclusively for business-to-business (B2B) use. The Service is NOT intended for consumer use. By accepting these Terms, you represent and warrant that you are a business entity or acting on behalf of a business entity.

1.2 Authority to Agree

You represent and warrant that you have the legal authority to bind the business entity on whose behalf you are accepting these Terms. If you do not have such authority, you may not accept these Terms or use the Platform.

2. DESCRIPTION OF SERVICE

2.1 Platform Functionality

The Platform provides software-as-a-service (SaaS) tools for Loxone home automation professionals, including but not limited to:

• Configuration File Processing: Upload, parse, and analyze Loxone configuration files (.loxone XML format)
• Template Creation: Create reusable logic templates from existing configurations
• AI-Powered Documentation: Generate customer-facing documentation using artificial intelligence
• Project Management: Track installation projects, timelines, and deliverables
• Export Capabilities: Generate PDF, Word, and Excel documents for client delivery
• Function List Generation: Transform technical configuration data into customer-friendly descriptions

2.2 AI-Generated Content

The Platform utilizes artificial intelligence (specifically, Claude Sonnet AI models) to generate content, descriptions, and documentation. All AI-generated content is subject to the disclaimers and limitations set forth in Section 8 (AI-Generated Content Disclaimers).

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To use the Platform, you must create an account by providing accurate, complete, and current information. You agree to:

• Provide true, accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Suspension and Termination of Accounts

We reserve the right to suspend or terminate your account immediately, without notice, if:

• You breach these Terms
• You engage in fraudulent activity
• Your payment method fails
• We are required to do so by law
• Your use of the Platform poses a security risk or threatens the integrity of our systems

4. USE AT YOUR OWN RISK

4.1 Configuration File Modifications

The Platform allows you to modify Loxone configuration files (.loxone XML). You acknowledge that modified configuration files may cause system malfunctions and you use this feature entirely at your own risk.

By using the Platform, you agree that:

• We make no warranty that modified files will function correctly
• You are solely responsible for testing all modifications before deployment
• You will maintain backups of all original configuration files
• We are not affiliated with or endorsed by Loxone Electronics GmbH

4.2 Professional Responsibility

You represent that you are a qualified professional with the knowledge and experience to understand the implications of configuration modifications and to implement appropriate safety measures.

4.3 Limitation of Liability

We are not liable for any damages, losses, or system malfunctions resulting from the use of modified configuration files or the Platform. This includes but is not limited to property damage, business interruption, or data loss.

5. AI-GENERATED CONTENT DISCLAIMERS

5.1 Nature of AI-Generated Content

The Platform uses artificial intelligence (AI) to generate content, including but not limited to:

• Function descriptions for smart home systems
• Customer-facing documentation
• Project summaries and reports
• Technical explanations and translations

AI-generated content is created by machine learning algorithms and has not been verified for accuracy by human experts.

5.2 No Warranty of Accuracy

We make no warranty, express or implied, as to the accuracy, completeness, reliability, or appropriateness of any AI-generated content.

You acknowledge and agree that:

• AI-generated content may contain factual errors
• AI-generated content may be misleading or inappropriate
• AI-generated content may not reflect current best practices
• AI-generated content may be biased or culturally insensitive
• AI-generated content does NOT represent the views, opinions, or advice of the Company

5.3 Review Obligation

You are solely responsible for reviewing, verifying, and editing all AI-generated content before providing it to your clients or using it in any professional capacity.

5.4 No Professional Advice

AI-generated content does not constitute professional advice of any kind, including but not limited to legal advice, financial advice, medical advice, engineering advice, or safety recommendations.

Do not rely on AI-generated content as a substitute for professional judgment or consultation with qualified experts.

5.5 AI Disclosure Requirement

You agree to disclose to your end clients when documentation or descriptions have been generated using AI tools. This disclosure is required for transparency and compliance with emerging AI regulations.

6. DATA PROTECTION AND PRIVACY (GDPR COMPLIANCE)

6.1 GDPR Compliance

We are committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Our processing of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

6.2 Data Controller and Processor Relationship

For the purposes of GDPR:

• You (the Customer) act as the Data Controller for any personal data of your end clients that you upload to the Platform
• We (the Company) act as the Data Processor, processing personal data on your behalf

6.3 Your Data Rights Under GDPR

You and your end clients have the right to:

• Access personal data (right of access)
• Rectify inaccurate data (right to rectification)
• Erase data (right to erasure / "right to be forgotten")
• Restrict processing (right to restriction)
• Data portability (right to data portability)
• Object to processing (right to object)
• Withdraw consent (where processing is based on consent)

7. LIMITATION OF LIABILITY

7.1 Maximum Liability Cap

To the maximum extent permitted by law, our total aggregate liability to you for any and all claims arising out of or related to these Terms or the Platform shall not exceed the amount of fees paid by you to us in the twelve (12) months preceding the event giving rise to liability.

7.2 Exclusion of Consequential Damages

In no event shall we be liable for any:

• Indirect, incidental, special, exemplary, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or loss of use
• Business interruption
• Cost of substitute services
• Property damage
• Personal injury or death
• Reputational harm

Even if we have been advised of the possibility of such damages.

3. You understand the risks associated with modifying Loxone configuration files
4. You understand the limitations of AI-generated content
5. You accept that use of the Platform is at your own risk
6. You will not hold us liable for system malfunctions, property damage, personal injury, or any other damages arising from use of the Platform or exported files
7. You are responsible for testing all modified files before deployment
8. You will disclose AI-generated content to your clients
9. You will comply with all applicable laws, including GDPR
10. You have the authority to accept these Terms on behalf of your business entity

If you do not agree with these Terms, you must not use the Platform.
